CS-CART SOFTWARE TRIAL LICENSE AGREEMENT

CS-Cart is commercial software, only users who have accepted the terms of this Trial License Agreement can use this computer program.

THIS CS-CART SOFTWARE END-USER TRIAL LICENSE AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU AND YOUR COMPANY (COLLECTIVELY, "YOU") AND CS-CART.COM (HEREINAFTER REFERRED TO AS "THE AUTHOR") FOR THE SOFTWARE PRODUCT IDENTIFIED ABOVE, WHICH INCLUDES COMPUTER SOFTWARE AND MAY INCLUDE ASSOCIATED MEDIA, PRINTED MATERIALS, AND "ONLINE" OR ELECTRONIC DOCUMENTATION (COLLECTIVELY, THE "SOFTWARE"). BY USING THE SOFTWARE, YOU SIGNIFY YOUR AGREEMENT TO ALL TERMS, CONDITIONS, AND NOTICES CONTAINED OR REFERENCED HEREIN. IF YOU ARE NOT WILLING TO BE BOUND BY THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. DEFINITIONS

When used in this Agreement, the following terms shall have the respective meanings indicated:

"Licensee" means You or Your Company, unless otherwise indicated.

"Trial Version" means a fully-functional evaluation version of the Software, to be used only for a limited time period.

"Author's Site" means the official website of the Author - http://www.cs-cart.com/.

"Commercial Software License" means the Software license purchased through the Author's Site or an authorized CS-Cart reseller.

2. LICENSE GRANT

The author grants to you, and you accept, a limited, non-exclusive and non-transferable license to use the Software. You agree to use the Software only as authorized in this License Agreement. This License Agreement does not convey to you any ownership rights or any other interest in the Software. This Software is licensed to be installed and used on only one domain.

3. PROPRIETARY RIGHTS AND RESTRICTIONS

3.1 Ownership.

The Software and all modifications or enhancements to, or derivative works based on the Software, whether created by the Author or you, and all copyrights, patents, trade secrets, trademarks and other intellectual property rights protecting or pertaining to any aspect of the Software or any such modification, enhancement or derivative work are and shall remain the sole and exclusive property of the Author. This Agreement does not convey title or ownership to you but instead gives you only the limited rights set forth in this Agreement.

3.2 Rights

Licensee is authorized on a nonexclusive basis to download the Software from the Author's Site, install one (1) copy of the Software on a single website and use it for no more than sixty (60) days following download of the Software. Licensee may install one (1) additional copy of the Software on a local computer, local network or local server strictly for testing and development purposes.

3.3 Restrictions.

You agree that you will not assign, sublicense, transfer, pledge, lease, rent, or share your rights under this License Agreement. Licensee may not remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Software.

It is strictly prohibited to obtain the Software from any source other than the Author's Site. Licensee is not authorized to install more than one copy of the Software on the website available on the Internet. The Software may not be installed on more than one website available on the Internet. Licensee may not transfer, assign, sublicense, pledge, lease, rent, or share the Software code or a part of it to any third party. Licensee may not use the Trial Version to evade the limitation of sixty (60) days and agrees to delete all copies of the Software after sixty (60) days from the date of download if the Commercial Software License is not purchased.

It is strictly prohibited to use CS-Cart trial version for a LIVE STORE (ONLINE SHOP).

4. LIMITATION OF LIABILITY

You assume all risk associated with the installation and use of the Software (including without limitation all conduct associated with administration). In no event shall the Author be liable whether in contract, warranty, tort (including negligence (whether active, passive or imputed), product liability or strict liability or other theory), for cover or for any indirect, incidental, special or consequential damages (including without limitation any loss of profits or data, business interruption, computer failure or other pecuniary loss) arising out of the use or inability to use the software or performance of any related services, irrespective of, even if the Author has been advised of the possibility of such damages.

5. TERM AND TERMINATION

This License Agreement is effective until terminated. This agreement is terminated immediately if you fail to comply with it in any way. The Author has the right to take any action it deems necessary to protect property it or any of its agents hold title to. You may terminate it at any other time by deleting the Software and all copies, modifications and merged portions in any form.

The Software is Copyright of the Author and is protected by International copyright laws.
